This website is owned and managed by the OGA and powered by Hivebrite as a software-as-a-service platform (‘Service Provider’) a company based in Paris, France.

 

The Somerville House Old Girls’ Association Inc (’Operator’) represents on this site by way of logo, branding, images and data, which has an agreement with the Service Provider authorising the Service Provider to offer its proprietary networking and database management engine Hivebrite (‘Service’) to select members, affiliates and others (‘Members’) granted access to the Service by the Operator.

 

This agreement described the terms on which you may access and use the Service. In order to become a Member of the Service you must read and accept all of the terms, conditions and privacy policy. If you do not agree to be bound by the terms you may not use or access the Service.

 

We reserve the right to modify this Agreement at any time, and without prior notice, by posting amended terms on this website. Your continued use of the Service indicates your acceptance of the amended User Agreement.

 

 

 

Description of Service

 

The Service is an online networking engine offered to enable Members to network personally and professionally with other members through Service Provider’s suite of tools and services.

 

Whether looking for a job, an expert in a certain field or topic, an old friend, or an activity partner, Members can make contact with other Members on an as-approved basis. The Service is a closed, private and trusted community only available to Members approved by the Operator.

 

In addition, Members will be given the opportunity to search and message other Services provided by the Service Provider on an as-approved basis by both the Operator and individual Member.

 

 

 

Membership Eligibility

 

The Service is available to all members of the OGA. It is not available to any members suspended or removed from the system by the Service Provider or Operator for any reason. Members may not have more than one active account. Additionally, members are prohibited from selling, trading or otherwise transferring their Service account to another party. In addition to this the Operator may choose to define the minimum age limit for accessing and using the Service. If you do not qualify (as determined by the Operator) you may not use the Service.

 

 

 

Use of Service

 

Your use of the Service is governed by these Terms of Use. The Service Provider or Operator may refuse service without prior notice to any Member.

 

You are responsible for maintaining the confidentiality of your password, account and internet connection. You are responsible for all activities that occur under your password or account with or without your knowledge.

 

You agree to immediately notify Operator of any unauthorised use of your password or account or any other breach of security. Both the Service Provider and Operator cannot and will not be liable for any loss or damage arising from your failure to company with this.

 

You are able to submit content to the platform, which will be published on the platform and visible to other platform users.  Contents can be of various forms, including group-related messages, pictures, videos, event announcements, ideas, or other personal messages.  In submitting contents to the Platform, the user assures that this is based essentially on personal considerations and objectives and that he/she personally authored it or has received permission for its usage.  The user grants the right to the OGA to publish, reproduce, and make publicly accessible all component parts of the contents (texts, image data, video data, audio and other data), providing the user’s name in so doing, and to otherwise disseminate such component parts both on the Platform and in any printed products that the host may prepare in the context of its idea challenge and/or in order to promote its activities. The right is granted as a non-exclusive right that is unlimited in terms of its duration and its geographic extent.  The user guarantees to the host that it holds all of the required rights to all component parts of the contents; this concerns in particular the personal rights of persons shown in any photographs or videos submitted.  The user releases the host liability for any and all claims that third parties may raise vis-à-vis the host for any potential violation of their rights by the material submitted.  This claim to be released from liability also covers the costs, which may need to be incurred in such context, of appropriately reviewing the matter and, should the case arise, of mounting a legal defence, unless the user is not responsible for the objection raised by the third party.  The rights are granted at no charge. 

 

 

 

Termination

 

You agree that Service Provider or Operator may immediately terminate your Service account and access to the Service if you are in breach of the Terms of Use. Without limiting the foregoing, the following will lead to a termination of Service Provider or Operator of a member’s use of the Service:

 

1. Breaches or violations of this Terms of Use or other incorporated agreements or guidelines
2. Requests by law enforcement of other government agencies
3. Unexpected technical issues of problems
4. Breach of the OGA Code of Conduct, either online or offline

 

Termination of your Service account includes:

1. Removal of access to all offerings within the Service
2. Deletion of your password and related information, files and content
3. Barring future use of the Service

Further, you agree that all terminations shall be made at Service Provider’s sole discretion and that the Service Provider shall not be liable for any losses incurred by the Member or third party as a result of the termination.

 

 

International Use

 

Recognising the global nature of the internet, you agree to comply with all applicable local laws and rules including but not limited to rules regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from any country that you reside in.

 

 

Information Provided on This Website

 

In the course of using the Service, members may provide information about themselves that may not be visible to certain other members. You understand that all information provided publicly posted or privately transmitted through the Service is the sole responsibility of the person from which such content originated and the Service Provider and Operator will not be liable for any errors or omissions. Members may choose to update their details via outside networks such as LinkedIn and Facebook. You understand that we cannot guarantee the authenticity of data that has not been previously confirmed and transferred to the Service by the Operator.

 

 

The Information We Collect About You

 

This is information that you either voluntarily provide to us by or through using the service or website – or information that the School provides to us on your behalf.

 

The OGA database maintained by the School may provide information such as your name, gender, year of graduation, email, phone number and address.  With your permission as an “opt in” the OGA will also provide updates on this same basic information as provided by users back to the school to allow maintenance of the school held OGA database only.

 

As it pertains to alumni association members, we take particular care of student data provided by you, in order to comply with the Australian Privacy Principles.

 

 

Service Communications

 

In the course of providing services, the Operator or Service Provider may need to communicate with you via email. You agree to receive emails that are specific to your account and necessary for the normal functioning of the Service.

 

 

Monitoring and Enforcement

 

While we have the right to monitor activity and content, we are not obligated to do so. As we do not have the ability to control or actively monitor content we don’t guarantee its accuracy or quality. In the process of using our website you might be exposed to content that you find offensive or objectionable.

 

You can contact the Operator to let them know of this. We can investigate the complaints and violations of our policies that come to our attention and may take any action that we believe is appropriate, including but not limited to: warnings, removing content or terminating accounts.

 

 

Terms for Purchasing On Our Website

 

By making an order with us you are certifying that you are 18 years or older.

 

Operator and Service Provider do not make any specific guarantees or warranties of any kind for our products and delivery. The delivery times are estimates and are not guaranteed time frames. By placing an order with us, you are agreeing to all our Terms and Conditions and information on this page. Operator and Service Provider are not responsible for purchases that are unable to be processed due to technical difficulties with the website or unavailability of products.

 

 

Identification

 

By accepting the Terms of use you agree to indemnify and otherwise hold harmless Service Provider and Operator, its officers, employees, agents, subsidiaries, affiliates and other parties from any direct or indirect, incidental, special, consequential or exemplary damages resulting from:

3. Any other matter relating to the Service

Any business transactions that may arise between members from their use of the Service are the sole responsibility of the members involved.

 

You understand and agree that the Service Provider and Operator may disclose information if required to do so by law or in the good faith and belief that such disclosure is reasonably necessary to comply with legal processes, enforce this Terms of Use or protect the rights, property or safety of the Service provider, its users and the public.

 

 

Disclaimer of Warranties

 

You understand and agree that the service is provided on an “as is” and “as available” basis and that Service Provider and Operator do not assume any responsibility for prompt or proper delivery or retention of any member information or communications between members, Service Provider and Operator assume no responsibility for the accuracy or existence of any communications between members. Service Provider and Operator expressly disclaim all warranties of any kind, whether expressed or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

 

Service Provider and Operator make no warranty that:

1. the Service will meet your requirements
2. the Service will be uninterrupted, timely, secure or error free
3. the results that may be obtained from use of the Service will be accurate or reliable
4. the quality of ay products, services, information or other material purchased or obtained through the service will meet your expectations
5. any errors in the software will be corrected.

 

Any material downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk and you will be solely responsible for any damage to your comp0uter system or loss of data that results from the download of any such material.

 

No advice or information whether oral or written, obtained by you from the Service Provider or Operator – or through or from the Service shall create any warranty not expressly stated in this User Agreement.

 

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

 

 

Entire Agreement

 

The Terms of Use constitutions the entire agreements between you, the Service Provider and the Operator and governs your use of the Service, superseding any prior agreements.

 

 

Limitation of Liability

 

You expressly understand and agree that the Service Provider and Operator shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages including by not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if the Service Provider and or Operator has been advised of the possibility of such damages). Some jurisdictions do not allow the exclusion of the limitation or exclusion of liability for incidental or consequential damages, accordingly, some of the above limitations may not apply to you.

 

 

 

OGA Cyber Code of Conduct – to be approved

 

The OGA is an inclusive, conflict free zone where contributions are celebrated and discourteous behaviour is not tolerated.

 

Maintaining a harmonious, supportive and polite culture is central to the OGA effecting change, executing its projects and being a strong, united stakeholder in our historic school – and the future of female education.

 

Discussion and debate are welcome - but improper behaviour undermines the proud OGA brand and will incur disciplinary action. Under clause 17 of the OGA Constitution, conduct that brings the Association into disrepute can result in a warning, suspension or termination of membership.

 

 

All OGA members are required to comply with the following standards:

 

• Act honestly, in good faith, and in the best interests of the OGA at all times.
• Uphold their duty to use care and diligence when representing the OGA; do not engage in conduct likely to discredit the OGA.
• Do not stalk, harass or intimidate a member.
• Do not improperly use or share information acquired through the OGA. This means that information you obtain through the OGA should only be used or shared for the purpose of which it was provided to you.  
• Properly declare and manage any actual or perceived conflict of interest as determined by the Executive Committee.
• Do not direct insults, abuse, harassment or libellous comments to anyone in the school community – or wider community – in a way that could be perceived to relate to the OGA.
• Do not post content, transmit messages or initiate communications that are unlawful, libellous, abusive, obscene, discriminatory, unethical or otherwise objectionable.
• Members cannot use the OGA website or portal to conduct illegal activity; including, but not limited to, conspiring to violate laws.
• Upload, post, email, transmit or otherwise make available any content or initiate communication that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights.
• Collect, store or transfer personal data about other members
• The OGA is not a place to play out school grievances; leave personal matters out of your interactions with, or roles within, the OGA.
• Upload, post, email, transmit or otherwise make available any unsolicited or unauthorised material, promotions or advertising.
• Upload, post, email, transmit or otherwise make available any material that contains software viruses or computer code, files or programs designed to destroy or limit the functionality of any computer, software or hardware.
• Be mindful that committee members are volunteers donating their time; limit after hours communication to reasonable hours and frequency, unless advised otherwise by the member.
• Interfere with or damage the Service

 

All members have an obligation, at all times, to comply with this Code of Conduct.

 

 

OGA Meeting etiquette

 

All members are warmly encouraged to attend OGA General Meetings. The purpose of committee meetings is to make decisions and briefly reports on progress items/outcomes.

Please observe good meeting etiquette:

• Disrespectful behaviour is not permitted (eg. yelling, offensive language, gossip or personally disparaging comments)
• Please arrive on time
• To place an item on the agenda for discussion, contact the Secretary no less than 48 hours prior to the meeting, and provide an indication of the approximate time allocation required for discussion of this item
• Be respectful of others’ time. Meetings should conclude at the stated finishing time, and to ensure we cover all agenda items, it is essential that discussions remain focused and on topic.
• Some information discussed in meetings is confidential; please be respectful of this. If unsure ask the President.
